Corporate Governance Officer
To implement the corporate governance and improve the performance of the board of directors, the Company's 6th meeting of the Board on December 23, 2020 approved to appoint the Corporate Governance Officer (CGO), who will be currently served by the finance & accounting department assistant vice president, Hsieh,Yu-Hsia. The CGO is mainly responsible for handling matters relating to Board meetings and shareholders meetings; producing minutes of Board meetings and shareholders meetings; assisting in onboarding and continuing education of directors; furnishing information required for directors for the performance of their duties; and assisting directors with legal compliance; report to the board of directors the results of its review of whether the qualifications of independent directors comply with relevant laws and regulations at the time of nomination, election and during their term of office, handle matters related to director changes and other matters specified in the Articles of Incorporation and contracts.
Explanation seminars for regulations such as prevention of insider trading
The Company conducts the educational promotion to directors, managerial officers, or employees regarding the “management of insider trading prevention” and the related laws and regulation; for the newly appointed directors and managerial officers, the files of the said material are provided for reference at the time of being onboard. In 2025, the management at the section head level or above was trained on December 23, 2025, for total 14 persons trained with total 14 training hours. The course include the extent of the internal material information and non-disclosure operation, reasons forming insider trading, process of recognition, and treatment of violation. The presentation files of the course were sent to these absent at the day.
